A procurement professional is preparing a sale & purchase contract of a machinery. Which of the following clauses should be added to the contract? Select TWO that apply

Show Suggested Answer Hide Answer
Suggested Answer: D

When parties do not negotiate face-to-face, a key Question: becomes when

things like acceptances, rejections and revocations take effect. The general rule is that acceptances are effective on dispatch (when they are mailed). Everything else becomes effective when the offeror actually receives them. This idea is codified by the ''mailbox rule'' which states that acceptance is effective on dispatch, even before the offeror has received it. (The one minor exception to this rule involves option contracts for which acceptances are not effective until they are received by the offeror.)

Ratio decidendi? Is that Latin for 'the reason for the decision'? I'm pretty sure the only Latin I need to know in procurement is 'caveat emptor'.

Supplier selection and guarantees, got it. As for the rest, I think the procurement pro is trying to sneak in some legalese just to keep us on our toes.

Ratio decidendi? Really? I thought this was a procurement exam, not a law school final.

I think guarantees should also be added to ensure the quality of the machinery.

Insurance requirements? Check. Guarantees? Double check. Period of hire? Wait, is this a lease agreement or a sale contract?

I agree with Adell. Insurance requirements are important to protect both parties.

Ah, the age-old question of what to include in a procurement contract. Supplier selection and guarantees are definitely a must, the rest seem like a bit of a stretch.

I think we should add insurance requirements to the contract.
